Terms of Service

These Terms of Service govern business access to and use of the SpudgerHQ website and software.

SpudgerHQ is operated by Vu Thanh Toan ("Philip Vu"), founder and operator of SpudgerHQ, based in Vietnam. These Terms of Service govern your access to and use of the SpudgerHQ website and software.

By creating an account, purchasing a subscription, or using SpudgerHQ, you agree to these terms on behalf of yourself and, where applicable, the business you represent. If you do not agree, do not use the service.

Business use and eligibility

SpudgerHQ is business software intended for phone repair shops and other repair-focused businesses. It is not offered as a consumer service for personal or household use.

You must be at least 18 years old to create an account. If you use SpudgerHQ for a company, shop, or other organization, you confirm that you are authorized to accept these terms for that business.

You are responsible for deciding whether SpudgerHQ is appropriate for your business and for complying with laws and professional obligations that apply to your shop.

Service availability

SpudgerHQ may not be offered in every country or territory. We may limit account creation, paid subscriptions, or service availability based on location, legal requirements, provider availability, or operational considerations.

SpudgerHQ is not currently offered to businesses established in the United Kingdom or South Korea. Public website content may remain accessible from locations where account registration or paid service is not offered.

Accounts and staff access

Some parts of SpudgerHQ require an account. The business account owner is responsible for managing staff access, permissions, and activity associated with its shop.

You are responsible for keeping account credentials and staff access secure and for promptly notifying us if you believe an account has been accessed without authorization.

  • Provide accurate and current account and business information
  • Use individual accounts and staff access appropriately
  • Keep passwords, authentication links, and other credentials secure
  • Remove or update staff access when it is no longer required
  • Use the service only for lawful business purposes

Acceptable use

You may not misuse SpudgerHQ or use it in a way that creates unreasonable security, legal, or operational risk.

  • Violate applicable laws, regulations, or third-party rights
  • Access systems, accounts, stores, or data without authorization
  • Attempt to bypass authentication, authorization, rate limits, or security controls
  • Interfere with the availability, integrity, or operation of the service
  • Upload malicious code, unlawful material, or content that infringes another person's rights
  • Use the service to facilitate fraud, deception, or other unlawful activity
  • Probe, scan, or test vulnerabilities without our written permission
  • Resell, sublicense, copy, or commercially exploit SpudgerHQ except where we expressly permit it

Your shop data

You retain your rights in customer records, device information, repair records, agreements, inventory records, transactions, business information, and other data that you or your authorized users enter into SpudgerHQ ("Shop Data").

You authorize SpudgerHQ to host, copy, transmit, display, process, back up, and otherwise use Shop Data only as reasonably necessary to provide, secure, support, and administer the service, comply with your instructions, and meet applicable legal obligations. Where permitted, we may use aggregated or de-identified information that does not identify your customers to understand and improve the service.

You are responsible for the accuracy, lawfulness, and appropriate collection of Shop Data and for providing any privacy notices, obtaining any permissions or consents, and meeting any retention or deletion obligations that apply to your business.

Customer privacy and sensitive information

Repair shops may store personal information about their own customers in SpudgerHQ. The repair shop generally determines why that information is collected and how it is used, while SpudgerHQ processes it to provide the service. Our handling of personal information is described in the SpudgerHQ Privacy Policy.

SpudgerHQ is not designed for storing highly sensitive credentials or information unless a specific feature expressly requires it. Do not store full payment-card numbers, bank account credentials, account passwords, customer device unlock PINs or passcodes, Apple or Google passwords, government-issued identification numbers, health information, or other highly sensitive information that is unnecessary for the repair workflow.

Repair agreements and customer signatures

SpudgerHQ may allow your shop to prepare repair agreements and obtain customer signatures through a signing link or QR code. Your shop is responsible for the agreement wording, disclosures, permissions, retention requirements, and enforceability of agreements used with your customers.

SpudgerHQ provides the software workflow and is not a party to the repair contract between your shop and its customer. A signed agreement generated through SpudgerHQ does not constitute legal advice or a guarantee that the agreement is valid or enforceable in your jurisdiction.

Signed agreement records are intended to preserve the document that was accepted at the time of signing. You should create a new agreement or follow an appropriate amendment process when material terms change after signing rather than treating the original signed record as editable.

Beta and early access

SpudgerHQ may be offered in beta or early-access form. During beta, the service may be provided at no cost and features may change, be added, be removed, or operate differently over time.

Beta features may contain bugs, interruptions, incomplete functionality, or data-migration requirements. Beta access is provided so businesses can evaluate the product and help us improve it and should not be treated as a promise that every feature or beta condition will continue permanently.

Pricing, subscriptions, and billing

Current prices, billing intervals, promotions, and plan terms are shown on the SpudgerHQ pricing page or during checkout. We may change pricing for future billing periods, but we will not charge you for a paid subscription unless the applicable price and recurring billing terms have been presented through the checkout flow.

Paid SpudgerHQ subscriptions are sold through Polar, which acts as merchant of record and authorized reseller for checkout transactions. Polar and its payment-processing partners handle payment-card information and payment processing, and Polar's buyer terms and privacy policy also apply to the checkout transaction.

If you purchase a recurring subscription, it renews according to the billing interval and price presented at checkout until canceled. You may cancel using the billing controls made available to you or the cancellation process presented at checkout. Cancellation stops future renewals but does not automatically create a right to a refund for amounts already paid, except where required by applicable law or expressly stated at checkout.

Promotional pricing, discounts, beta offers, or introductory terms may be subject to eligibility requirements, time limits, and renewal conditions shown with the offer. Unless expressly stated otherwise, promotional terms do not permanently change the standard price of the service.

Third-party services

SpudgerHQ relies on third-party providers for services such as infrastructure, authentication, communications, analytics, support, and payments. Some features may also link to or depend on services controlled by third parties.

Third-party services may be governed by their own terms and policies. We are not responsible for outages, changes, acts, omissions, or content of third-party services that we do not control, although we will use reasonable efforts to manage providers that are important to operating SpudgerHQ.

Product changes and availability

We may update, improve, modify, replace, suspend, or discontinue features as the product develops. We may also impose reasonable technical or usage limits to protect service reliability, security, or other customers.

We aim to provide a practical and reliable service, but we do not guarantee that SpudgerHQ will always be uninterrupted, error-free, or available at a particular time, or that every feature will remain unchanged.

Backups, exports, and business continuity

SpudgerHQ may maintain backups for service recovery, but the service is not a substitute for every record-keeping or business-continuity measure your shop may be required to maintain. Where export functionality is available, you are responsible for using it when appropriate for your business.

Full self-service account export is not currently available for every category of Shop Data. If you require access to or a copy of data for privacy or business-continuity reasons, contact support@spudgerhq.com.

Intellectual property

SpudgerHQ, including the software, website, branding, interface, documentation, text, graphics, and related materials, is owned by Vu Thanh Toan, SpudgerHQ, or applicable licensors and is protected by applicable intellectual-property laws.

Subject to these terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use SpudgerHQ for your internal business operations while your account is authorized to use the service. These terms do not transfer ownership of SpudgerHQ or its intellectual property to you.

Feedback

If you voluntarily provide suggestions, ideas, bug reports, or other feedback about SpudgerHQ, you allow us to use that feedback to develop and improve the service without an obligation to compensate you. This does not transfer ownership of your Shop Data to us.

No professional advice

SpudgerHQ is operational software for repair businesses. It does not provide legal, tax, accounting, regulatory, cybersecurity, or other professional advice.

Templates, workflows, reports, agreements, and other features are tools for your business. You remain responsible for determining whether your processes, records, customer communications, and agreements satisfy the requirements that apply to your shop.

Service disclaimer

To the fullest extent permitted by applicable law, SpudgerHQ is provided on an "as is" and "as available" basis. We do not make warranties that the service will be uninterrupted, error-free, completely secure, or suitable for every business purpose or legal requirement.

Nothing in these terms excludes warranties, guarantees, or rights that cannot lawfully be excluded or limited.

Limitation of liability

To the fullest extent permitted by applicable law, SpudgerHQ and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, or loss of data arising from or related to the service.

To the fullest extent permitted by applicable law, the total aggregate liability of SpudgerHQ and its operator for claims arising out of or relating to the service will not exceed the amount paid for your SpudgerHQ subscription during the twelve months immediately preceding the event giving rise to the claim, or, if you have paid nothing during that period, one hundred U.S. dollars.

These limitations do not apply to liability that cannot lawfully be excluded or limited.

Your responsibility for claims

To the extent permitted by applicable law, you are responsible for claims, losses, or costs arising from your unlawful use of SpudgerHQ, your Shop Data, your repair services or agreements with your customers, or your violation of another person's rights. This section does not make you responsible for claims caused solely by SpudgerHQ's own unlawful conduct.

Suspension and termination

You may stop using SpudgerHQ at any time and may cancel a paid subscription according to the applicable billing process.

We may restrict or suspend access where reasonably necessary to address security incidents, suspected fraud or abuse, non-payment, unlawful use, material violations of these terms, or risks to the service or other users. Where practical, we will try to give notice and an opportunity to address the issue before permanent termination unless immediate action is reasonably necessary.

After termination, access to Shop Data may end and data may later be deleted in accordance with our Privacy Policy, applicable law, and our normal deletion and backup processes. You should request or obtain any required records before termination where reasonably possible.

Business transfers and assignment

We may assign or transfer these terms and the operation of SpudgerHQ as part of a merger, acquisition, financing, restructuring, sale of assets, incorporation of the SpudgerHQ business, or similar transaction, subject to applicable law and privacy obligations.

You may not transfer your account or assign these terms to another person or business without our consent, except as required by applicable law.

Governing law and disputes

These terms are governed by the laws of Vietnam, without regard to conflict-of-law principles, except where mandatory applicable law provides otherwise.

Subject to any mandatory rights or procedures that cannot be waived, disputes arising from these terms or SpudgerHQ will be submitted to the competent courts of Vietnam. Before filing a formal claim, we encourage you to contact support@spudgerhq.com so we can try to resolve the issue directly.

Changes to these terms

We may update these Terms of Service as SpudgerHQ, pricing, providers, or legal requirements change. We will revise the last updated date above and provide additional notice when a material change makes that appropriate.

If a change materially affects an active paid subscription, it will apply prospectively to the extent required by applicable law. Continued use after revised terms take effect constitutes acceptance where permitted by law.
